1. Binding Agreement and Acceptance

These Master Terms of Use ("Terms") constitute a legally binding contract between you ("User," "you," or "your") and Optima Tech Innovations Limited, a company incorporated in the Hong Kong SAR ("Optima," "we," "our," or "us"). By accessing, browsing, downloading our application, or utilizing our digital connection Application Programming Interfaces (APIs) (collectively, the "Platform"), you unequivocally accept and agree to be bound by these Terms. If you disagree with any provision, including the mandatory arbitration clause and class action waiver, you must immediately terminate all use of the Platform.

2. CORE DISCLAIMER: SEPARATION OF ENTITIES AND SERVICES

OPTIMA TECH INNOVATIONS LIMITED IS STRICTLY A SOFTWARE INFRASTRUCTURE AND DIGITAL ROUTING PROVIDER. WE ARE NOT A BANK, LENDER, FINANCING COMPANY, CREDIT BUREAU, OR DEBT COLLECTION AGENCY.

We do not originate, underwrite, approve, or fund any loans or credit facilities.
We do not set interest rates, processing fees, late penalties, or loan tenures.
We absolutely do not engage in, authorize, or endorse any debt collection practices, communications, or enforcement actions.

The Platform solely functions as a technological conduit to securely route your application data to independent, SEC-registered Third-Party Licensed Financial Institutions in the Philippines. Any financial contract, promissory note, or loan agreement you execute is exclusively between you and said Third-Party Institution. Optima is completely shielded from and excluded from that contractual relationship.

3. Eligibility and Account Integrity

To utilize the Platform, you represent and warrant that you are a legal resident of the Republic of the Philippines, are at least eighteen (18) years of age, and possess the legal capacity to enter into binding contracts. You agree to provide current, complete, and perfectly accurate information. The submission of falsified documents, fabricated identities, or fraudulent income statements constitutes a material breach of these Terms and may result in immediate reporting to relevant anti-fraud networks and law enforcement authorities.

4. Acceptable Use Policy (AUP) & Platform Restrictions

You are granted a limited, revocable, non-exclusive, non-transferable license strictly to input data for the purpose of application routing. You explicitly agree NOT to:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform's APIs or algorithms.
Deploy automated scripts, spiders, bots, or scrapers to interact with the Platform or extract data.
Attempt to bypass rate limits, inject malicious SQL payloads, or execute Cross-Site Scripting (XSS) attacks.
Use the Platform to facilitate money laundering, terrorism financing, or any activity in violation of the Anti-Money Laundering Act (AMLA).

5. Absolute Immunity from Third-Party Disputes

Because Optima operates solely as a data transport layer, we bear ZERO legal or financial responsibility for the actions, omissions, or business practices of the Third-Party Licensed Financial Institutions. If you experience issues regarding:

Rejection of your loan application or dissatisfaction with approved credit limits.
Allegedly excessive interest rates, hidden fees, or misunderstood repayment schedules.
Harassment, threats, or abusive language deployed by third-party debt collectors.

You must direct all complaints, lawsuits, or regulatory filings directly against the Third-Party Licensed Financial Institution. Optima Tech Innovations Limited will immediately dismiss any claims filed against it pertaining to third-party financial disputes.

6. Intellectual Property Rights

The Platform, including all underlying source code, UI/UX designs, trademarks, service marks, algorithms, and proprietary routing methodologies, are the exclusive intellectual property of Optima Tech Innovations Limited, protected by international copyright and trademark laws. No rights or licenses are granted to you except as expressly set forth herein. Unauthorized commercial exploitation of our intellectual property will result in aggressive civil litigation.

7. Disclaimer of Warranties (U.C.C. Standard)

The platform and all routing services are provided strictly on an "as is," "where is," and "as available" basis. Optima Tech Innovations Limited expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the APIs will be uninterrupted, error-free, secure, or free from latency, nor do we guarantee that the submission of your data will result in a successful API handshake or the subsequent approval of any financial product by third parties.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Optima Tech Innovations Limited, its subsidiaries, directors, officers, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including without limitation loss of profit, loss of data, loss of goodwill, or severe emotional distress arising from your use of the platform, your inability to use the platform, or any interactions with third-party lenders, even if Optima has been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion of certain warranties, Optima's total aggregate liability to you for any direct damages shall not exceed the amount of fifty US dollars ($50.00 USD).

9. Indemnification

You agree to strictly defend, indemnify, and hold harmless Optima Tech Innovations Limited and its affiliates from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your submission of fraudulent or inaccurate data; (c) your violation of any applicable laws or regulations; or (d) your contractual breach with any Third-Party Licensed Financial Institution.

10. Dispute Resolution, Binding Arbitration, and Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Governing Law: These Terms and any disputes arising out of them shall be governed exclusively by the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.
Binding Arbitration: Any dispute, controversy, difference, or claim arising out of or relating to this contract, including the existence, validity, interpretation, performance, breach, or termination thereof, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one (1). The arbitration proceedings shall be conducted in English.
CLASS ACTION WAIVER: YOU AND OPTIMA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

11. Force Majeure

Optima shall not be held liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in fulfilling or performing any term herein when such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities, terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes, telecommunication breakdowns, power outages, or malicious cyber-attacks (including ransomware or DDoS campaigns).

12. Severability and Entire Agreement

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. These Terms, our Privacy Policy, and any explicit API agreements constitute the sole and entire agreement between you and Optima Tech Innovations Limited regarding the Platform, superseding all prior understandings.

13. Modifications to Terms

We reserve the right to revise and update these Terms at our sole discretion at any time. All changes are effective immediately when we post them. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
